Terms of Service

1. Acceptance of Terms

By accessing or using the services of Edphics Advertisers Ltd, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Services

Edphics provides creative and technology services including graphic design, branding, web development, app development, printing, signage, and motion graphics. All services are subject to availability and a formal project agreement.

3. Payment Terms

• A 50% deposit is required before work begins on any project
• The remaining balance is due upon project completion before final files are released
• All prices are quoted in USD unless otherwise stated
• Invoices unpaid after 14 days may attract a late fee of 5% per month

4. Revisions & Scope

Each service package includes a specified number of revision rounds as stated in your project agreement. Additional revisions beyond the agreed scope will be charged at our standard hourly rate. Significant changes to the project scope after work has begun may require a revised quote.

5. Intellectual Property

Upon receipt of final payment, all approved design files and deliverables become the property of the client. Edphics retains the right to display completed work in our portfolio unless otherwise agreed in writing. All work remains the property of Edphics until full payment is received.

6. Client Responsibilities

The client agrees to provide all necessary content, feedback, and approvals in a timely manner. Delays caused by the client may affect project timelines and deadlines. The client is responsible for ensuring they have the legal right to use any content provided to Edphics.

7. Limitation of Liability

Edphics shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid for the specific service giving rise to the claim.

8. Termination

Either party may terminate a project with 7 days written notice. In the event of termination, the client shall pay for all work completed to date. The deposit is non-refundable once work has commenced.

9. Governing Law

These terms shall be governed by the laws of the Republic of Uganda. Any disputes shall be resolved through good-faith negotiation, and if necessary, through the courts of Uganda.
